End-User License Agreement
What changed on November 4, 2026
- Wording only: the button that connects the Software to QuickBooks is now called Connect to QuickBooks, as Intuit asks, and the Software is called only BulkAuto. Your rights and our obligations are unchanged.
What changed on November 1, 2026
- The Agreement is now with BulkAuto Ltd., a Colorado limited liability company, instead of Logan Noble.
- Subscriptions (section 7): the free trial, plans and their limits, who you pay (Stripe's Managed Payments service is the merchant of record), automatic renewal, canceling, refunds and failed payments.
- License keys and link codes may be used only for the seats you've paid for (section 3).
- Each plan includes a number of QuickBooks reads a month, as a guide (section 7).
Earlier change (October 28, 2026): the Agreement covered everything the Software does and the Mac version, allowed work in clients' companies, covered connecting through our sign-in service and update checks, and limited our liability to what you paid in the twelve months before a claim, with no minimum amount.
This End-User License Agreement ("Agreement") is between you and BulkAuto Ltd., a Colorado limited liability company and the developer of BulkAuto ("we," "us," or "our"). BulkAuto (the "Software") is a desktop application that connects to QuickBooks Online companies through Intuit's application programming interfaces (APIs) so you can review and change records in bulk: for example, delete or void transactions, upload records from spreadsheets, edit fields, make names inactive, apply payments and credits, write off small balances, group deposits, attach files and pause or delete recurring templates.
1.Acceptance
By installing, copying or using the Software, you agree to this Agreement. If you use the Software on behalf of a company or other organization, you confirm that you have authority to accept this Agreement for it, and "you" includes that organization. If you do not agree, do not install or use the Software.
2.License grant
Subject to this Agreement, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Software on computers that you own or control, for your own business purposes, including work you do for your clients in QuickBooks companies you are authorized to access and change. You may make one copy of the installer for backup or to install it on other computers you own or control. Using the Software with real (not sandbox) QuickBooks companies after the free trial needs a subscription, and is limited to the seats, computers and companies it covers (section 7).
3.Restrictions
You will not, and will not allow anyone else to:
- sell, rent, lease, sublicense or distribute the Software for a fee, or offer it as a hosted service to others;
- reverse engineer, decompile or disassemble the Software, except to the extent applicable law expressly permits it despite this restriction;
- remove or alter any copyright, trademark or other notices in the Software;
- share a license key or link code with anyone outside the seats you've paid for, or get around the Software's trial, seat, computer or company limits;
- use the Software to access a QuickBooks company, or any data in it, that you are not authorized to access or change;
- use the Software in a way that violates Intuit's terms, interferes with Intuit's services, or exceeds the limits Intuit places on API use; or
- use the Software for any unlawful purpose.
4.QuickBooks and Intuit
The Software works only with QuickBooks Online. It connects to a QuickBooks company only through Connect to QuickBooks, which uses our sign-in service and our Intuit app. Your use of QuickBooks Online and of Intuit's developer platform is governed by your agreements with Intuit Inc., not by this Agreement. We do not control Intuit's services and are not responsible for their availability, for changes Intuit makes to its APIs or policies, or for any fees Intuit charges.
Our sign-in service. Connect to QuickBooks relies on a small online service we operate, which passes your connection to QuickBooks to the Software and renews it (the Privacy Policy describes what it handles). It is provided as part of the Software, on the same terms. It may sometimes be unavailable, and we may change or end it. The Software needs it to connect to QuickBooks. If we end it, we will try to give notice in the Software or on this page first.
QuickBooks, QuickBooks Online and Intuit are trademarks of Intuit Inc. The Software is an independent product. It is not made, endorsed or supported by Intuit Inc.
5.Your data and changes you make
The Software reads data from, and makes changes to, a QuickBooks Online company only when you tell it to, after showing you what it will do. Some of those changes, such as deletes and voids, are permanent in QuickBooks and cannot be undone there. You are responsible for:
- reviewing the preview before you confirm a change, delete or upload;
- having the permission of the company's owner (for example, your client) to make the changes you make;
- keeping your own backups and accounting records, including any reports you need before changing or deleting data;
- checking that changes are appropriate for the company's accounting, payroll, billing, tax and record-keeping obligations; and
- keeping the computer the Software runs on, and your Intuit sign-in details, secure.
Before it changes or deletes records, the Software saves a local backup, and most runs can be undone from its Activity list. Backups and undo are provided as a convenience and have limits: a deleted record that is re-created gets a new number in QuickBooks, a void cannot be reversed, and an undo leaves alone records changed in QuickBooks since the run. We do not guarantee that a backup will be complete or that data can be restored from it.
6.Ownership
The Software is licensed, not sold. We and our licensors keep all rights, title and interest in the Software, including all intellectual property rights. You keep all rights to your own data. We claim no ownership of anything in your QuickBooks company or in files you create with the Software.
7.Subscriptions, fees and updates
Free trial. Each computer gets a free trial of five days from its first connection to a real (not sandbox) QuickBooks company, once per company. The trial needs no payment details and ends by itself; nothing is charged unless you subscribe. Sandbox (test) companies are always free.
Subscriptions. After the trial, using the Software with real companies needs an active subscription. Subscriptions are per bookkeeper ("seat"), billed monthly or yearly at the price shown at checkout before you pay. Each seat may be used on up to two computers. The Standard plan covers up to three client QuickBooks companies per seat in any 30 days; the Firm plan has no company limit. The Software checks these limits when it connects to a company.
QuickBooks reads. Intuit limits how much data apps like the Software may read from QuickBooks each month, across all of their users. So each plan includes a number of reads a month per seat (shown in the Software, in Settings), and a trial includes a number per computer. For now this is a guide: the Software warns you as you near it and doesn't stop working when you pass it. We may change the allowances, or ask a customer who regularly reads far more than the plan includes to move to a plan that fits, with notice.
Who you pay. Subscriptions are sold through Stripe's Managed Payments service. The Stripe affiliate named at checkout is the merchant of record for your purchase: it takes the payment, charges and pays any sales tax, VAT or GST, issues receipts and handles payment questions, under its own terms shown at checkout. We never receive your card or bank details.
Automatic renewal. A subscription renews automatically at the end of each monthly or yearly period, and the price then in effect is charged to your payment method, until you cancel. We will tell you about a price change at least 30 days before the renewal it applies to.
Canceling and refunds. You can cancel at any time in the Software (Settings → Subscription → Manage billing) or by emailing us. Canceling stops the next renewal; the subscription keeps working until the end of the period you've paid for. Payments are not refunded for partial periods, except where the law requires it or the merchant of record's terms provide for it.
Failed payments. If a renewal payment fails, the Software keeps working for a short grace period (currently three days) while payment is retried. After that it stops working with real companies until the subscription is paid or renewed. Your settings, backups and history stay on your computer.
We may release updates, fixes or new versions, and this Agreement applies to them unless they come with a different agreement. Versions of the Software that check for new versions ask you before installing one, and the check can be turned off in Settings. We have no obligation to provide updates or support.
8.Third-party software
The Software includes open-source components, including Electron, Chromium and Node.js, that are licensed under their own terms. Those terms govern your use of those components, and nothing in this Agreement limits rights those licenses give you.
9.Termination
This Agreement lasts until it is terminated. You may end it at any time by uninstalling the Software and deleting all copies. It ends automatically if you breach it. When it ends, you must stop using the Software and delete it. Uninstalling doesn't cancel a subscription; cancel it as section 7 describes. Sections 5, 6 and 10 through 15 survive termination.
10.Disclaimer of warranties
The Software is provided "as is" and "as available," with all faults and without warranty of any kind. To the fullest extent permitted by law, we disclaim all warranties, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy and uninterrupted or error-free operation. We do not warrant that the Software will meet your requirements, work with every QuickBooks company or Intuit API version, or that any data will be preserved.
11.Limitation of liability
To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of data, records, profits, revenue, business or goodwill, arising out of or related to the Software or this Agreement, even if we were told such damages were possible. Our total liability for all claims arising out of or related to the Software or this Agreement will not exceed the amount you paid us for the Software in the twelve months before the claim. While the Software is provided free of charge, that amount is zero.
Some jurisdictions do not allow certain warranty exclusions or liability limits, so some of the above may not apply to you. In that case, our liability is limited to the smallest amount the law permits.
12.Indemnification
You will defend, indemnify and hold us harmless from any claims, losses, liabilities and expenses, including reasonable attorneys' fees, arising from your use of the Software, your breach of this Agreement, or your violation of any law or third-party right, including changes you make to data in a QuickBooks company.
13.Export and lawful use
You will comply with all applicable export control and sanctions laws. You will not use, export or re-export the Software in violation of those laws, including to any embargoed country or prohibited person.
14.Governing law
This Agreement is governed by the laws of the State of Colorado, USA, without regard to its conflict-of-laws rules. The state and federal courts located in Colorado have exclusive jurisdiction over any dispute arising out of or related to this Agreement or the Software, and you and we consent to the personal jurisdiction of those courts. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
15.General terms
- Entire agreement. This Agreement is the entire agreement between you and us about the Software and replaces any earlier understandings.
- Changes. We may update this Agreement. The updated version applies to versions of the Software released after its effective date, and continuing to use the Software after an update means you accept it.
- Severability. If any part of this Agreement is found unenforceable, the rest stays in effect, and the unenforceable part is changed only as much as needed to make it enforceable.
- No waiver. Not enforcing a right is not a waiver of that right.
- Assignment. You may not assign this Agreement without our written consent. We may assign it to a successor of the Software.
